CFO negotiation is highly variable depending on company stage and capital event proximity. Pre-IPO scale-up CFOs command different bands from PLC CFOs. Equity is often the headline component at scale-ups. The biggest variables are sector, capital event experience (raises, IPO, M&A), and headcount/P&L scope.

Most negotiable

  • Equity grant size at scale-up CFO roles (often the dominant comp component)
  • Base salary at PLC CFO and senior scale-up CFO roles (substantial stretch)
  • Bonus structure tied to specific capital events or financial targets
  • Sign-on bonus to compensate for unvested equity / LTI at current role

Common mistakes

  • Not negotiating equity at scale-up CFO roles — often 50%+ of total comp
  • Anchoring to current PLC base when moving to scale-up (different comp model)
  • Forgetting bonus structure tied to specific events (IPO completion, fund raise, etc.)
  • Underselling capital event experience — fund raises and IPOs justify substantial premium

Recruiter pro tip

CFO negotiation at scale-ups is dominated by equity, not base. A scale-up CFO offer with £180k base + 1.5% equity is structurally different from a PLC CFO offer with £280k base + cash bonus. Calculate 24-36 month total comp under multiple exit scenarios; sometimes the lower-base scale-up role outperforms the higher-base PLC role on EV-adjusted comp.

Internal vs external negotiation for cfos

Internal CFO promotions are rare (usually external hire). The progression CFO at smaller company → CFO at larger company is the cleanest growth path. Building capital-event experience deliberately during your first CFO tenure pays off enormously in your next negotiation.
